These Terms of Service (“Terms”) govern your use of the InkProfit LLC (“InkProfit,” “we,” “us,” or “our”) website at https://inkprofit.com and any services we provide. By accessing the site or engaging our services, you agree to these Terms.
1. Services
InkProfit provides Amazon Advertising management, consulting, and related services for Kindle Direct Publishing (KDP) authors and publishers. Specific deliverables, timelines, and fees are defined in a separate service agreement or engagement letter between InkProfit and each client.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. Clients represent that they have authority to grant InkProfit access to their Amazon Advertising and related accounts for the purpose of delivering our services.
3. Client Responsibilities
Clients agree to: provide accurate information; maintain active Amazon Advertising, KDP, and related accounts in good standing; grant the access needed to perform services; and respond to reasonable requests for input, approvals, or materials in a timely manner.
4. Fees and Billing
Service fees and billing terms are set out in each engagement. Fees are non-refundable except where expressly stated in the engagement or required by law. Late payments may result in suspension of services.
5. Advertising Results
Amazon Advertising outcomes depend on many factors outside our control, including product quality, reviews, pricing, category competition, and Amazon’s platform behavior. InkProfit does not guarantee specific sales, rankings, ACOS, TACOS, or revenue outcomes.
6. Intellectual Property
InkProfit retains all rights to its proprietary methodologies, frameworks, reports, dashboards, software tools, and other materials. Clients retain all rights to their own brand, content, and account data. Clients grant InkProfit a limited license to use their account data to perform the agreed services.
7. Confidentiality
Both parties agree to keep non-public information received from the other party confidential and to use it only for the purposes of the engagement.
8. Compliance with Amazon Policies
Clients acknowledge that Amazon programs (Advertising, KDP, A+ Content, and related) are governed by Amazon’s own terms. InkProfit operates within those policies and is not responsible for account actions taken by Amazon.
9. Limitation of Liability
To the maximum extent permitted by law, InkProfit’s aggregate liability arising out of or related to the services is limited to the fees paid by the client to InkProfit in the three (3) months preceding the event giving rise to the claim. InkProfit is not liable for indirect, incidental, special, or consequential damages.
10. Termination
Either party may terminate an engagement as described in the service agreement. Upon termination, InkProfit will return or securely delete client account access and materials on written request.
11. Changes to Terms
We may update these Terms from time to time. The “Last updated” date above shows when they were last revised. Material changes will be communicated to active clients directly. Continued use of our site or services constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State in which InkProfit LLC is registered, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts located in that state, unless the parties agree otherwise in writing.
